Q. What is the company´s formal name?

A. The official name of the company is HOYA CORPORATION. This is specified in the company statutes.

Q. When was the company founded?

A. The company started operations on November 1, 1941 in the town of HOYA, Tokyo Prefecture (now city of Nishi-Tokyo, Tokyo) under the name Toyo Kogaku Garasu Seizosho(Toyo Optical Glass Production). Then, in 1960, the name was changed to HOYA Glass Co., Ltd. In 1985 the present company name, HOYA Corporation, was adopted.

Q. When was the company listed on the stock exchange?

A. HOYA Corporation was listed on the Second Section of the Tokyo Stock Exchange in 1961 and upgraded to the First Section in 1973.

Q. What is HOYA´s securities code?

A. The securities code is 7741 and we are classified as a precision equipment manufacturer.

Q. What is the trading lot size for HOYA shares?

A. One hundred shares.

Q. Do you have any preferential system for shareholders?

A. No, we do not. We would like to refund the profit to shareholders by dividend.

Q. When does your annual accounting period end?

A. Our fiscal year ends on March 31. Our interim accounting period ends on September 30.
With regard to business performance, consolidated results are announced every three months, or four times a year. Non-consolidated results are announced twice each year, at the end of the interim accounting period and at the end of the fiscal year.

Q. When are claims ascertained for annual dividends and interim dividends?

A. Annual dividends: Four business days prior to March 31
Interim dividends: Four business days prior to September 30
Note that it is necessary to complete transfers by the date as above stated when claims are ascertained in order to claim dividends.

Q. When are dividends paid?

A. As we have moved to the Company- with-Committees system, we can pay year-end dividend before Annual General Meeting of Shareholders subject to resolution of The Board of Directors. Therefore in the end of May or beginning of June you can receive year-end dividend. As for interim dividend, you can receive it in the end of November same as before.

Q. Who is the transfer agent I should contact if I need to perform stock related business such as transferring ownership or registering a change of address?

Q. How can I receive my dividend payment if I failed to do so during the stipulated period?
How can I receive my dividend payment if I lost the notification of postal transfer payment?

A. Please contact Sumitomo Mitsui Trust Bank, Limited, the transfer agent through your global custodian bank in case you are non-resident shareholders in Japan. The necessary procedure for receiving your dividend payment can be performed at any Sumitomo Mitsui Trust Bank, Limited in Japan.
Note that if three years or more have elapsed since the start of the stipulated dividend payout period, Hoya Corporation is no longer obligated to pay unclaimed dividends. In such cases you may not be able to receive your dividend payment.

Q. How do I go about transferring ownership of stock or registering a change of address?

A. Please contact Sumitomo Mitsui Trust Bank, Limited, the transfer agent. The necessary procedures can be performed at any branch of Sumitomo Mitsui Trust Bank, Limited in Japan. Please note that stock related business can be performed directly and free of charge at any Sumitomo Mitsui Trust Bank, Limited´s branch. Notification forms for stock related business can also be obtained at Sumitomo Mitsui Trust Bank, Limited´s branches.
Undertaking stock transactions through a securities company will incur handling fees. Note that these fees differ depending on the securities company, the number of shares, and so on.

Questions About Business Performance

Q. What reports listing Hoya´s business performance are available?

A. HOYA issues an integrated report annually. In addition, the company issues and submits the financial report (“Kessan Tanshin”) quarterly to the Tokyo Stock Exchange and financial statements (“Yuka Shoken Hokokusho”)each fiscal year to the Ministry of Finance.

Q. When are Hoya´s financial statements issued?

A. The Company posts the schedule of announcement of financial statements at ´IR Calendar´ when it is decided.

Q. When does Hoya issue business performance forecasts?

A. The interim forecast is issued at the same time as the announcement of financial statement for the first quarter, and the full-year forecast is issued together with the financial statement for the third quarter.

Q. Is it necessary to register in order to attend the company´s results briefing?

A. As a general rule the results briefing is held the evening of the day on which the financial statement is announced and securities analysts and institutional investors may attend by registering in advance. To allow room for as many shareholders as possible to attend, institutional shareholders are requested to send one attendee each.

Q. What sorts of things are you doing to enhance corporate value? What is SVA management?
What steps are you taking to establish improved corporate governance?

A. An incorporated company is the property of its shareholders, and the job of the board of directors is to run the company on behalf of the shareholders. Our management goal is to provide satisfaction to shareholders, investors, and other stakeholders by enhancing HOYA´s corporate value. The following are some of the ways we are going about this task. 

1. SVA management : We are endeavoring to run the company in an efficient manner that will maximize corporate value. To accomplish this we have introduced SVA (Shareholder´s Value Added), an innovative management index that takes into account the cost of capital.
*SVA (Shareholder´s Value Added) : This index indicates the extent to which earnings have been increased, using the total assets owned by the company, above the total cost of those assets.

2. Appointment of outside directors : By including outside directors on the board of directors we aim not only to increase transparency and enhance corporate governance, but to improve the strategic effectiveness of management as well.

3. Global group management : We are working to operate the company efficiently, based on a global perspective. “Manufacture where manufacturing can be carried out most cheaply, sell where the product sells for the highest price.” Based on this fundamental approach, we are arranging management resources so as to maximize competitiveness and seeking to locate both production and sales in the most appropriate regions.
